Delaware General Corporation Law Revision Committee Documents

In 1967, the Delaware General Corporation Law (DGCL) underwent a major revision.  The Revision Committee, comprised of prominent Delaware practitioners, was charged with debating and redrafting each provision of the DGCL.  Their minutes, memorandums, letters, and other documents are available to download in their original form by visiting: Delaware Corporation Law Revision Committee Documents.  The revised DGCL was passed by the General Assembly on July 3, 1967.

As part of the 1967 DGCL revision, the Committee retained Ernest L. Folk, III, a Professor at the University of Virginia Law School, to draft a study of the then-existing corporation code and make recommendations for its amendment.  This report played an instrumental role in the revision effort – influencing many statutes which are still in effect today.  Professor Folk’s Report may be downloaded in its original form by visiting: Folk’s Report .

Professor Folk later authored Folk on the Delaware General Corporation Law, which is a leading treatise on the DGCL, now in its fifth edition.
